# 1. Agreement to Terms

By purchasing, booking, registering, attending, participating in, or accessing any class, workshop, event, membership, private lesson, online content, video, training program, digital material, exclusive member content, or service provided by Phoenix Bachata Dance (“Studio”), you agree to be legally bound by these Terms & Conditions.

If you do not agree to these Terms, you may not participate in Studio activities or access Studio content.

# 2. No Refund Policy (IMPORTANT)

ALL SALES ARE FINAL.

Phoenix Bachata Dance maintains a strict no-refund policy for all:

* Classes
* Memberships
* Events
* Workshops
* Private lessons
* Bootcamps
* Online programs
* Digital products
* Exclusive content
* Mini online courses
* Promotional purchases
* Training programs

No refunds will be issued for:

* Missed classes
* Personal scheduling conflicts
* Relocation
* Travel issues
* Lack of participation
* Dissatisfaction after participation
* Failure to attend
* Partial usage of memberships or programs

Once a class, membership, event, program, or digital access has started or been granted, no refunds, chargebacks, reversals, or cancellations will be permitted except where required by Arizona law.

Attempted fraudulent chargebacks or payment disputes after receiving access to services, classes, memberships, or exclusive content may result in:

* Immediate termination of membership
* Permanent suspension from the Studio
* Revocation of all digital access
* Collection actions
* Recovery of administrative and legal costs where permitted by law

# 3. Membership Commitment Policy

Certain memberships, promotions, discounted offers, or programs may require a minimum commitment period.

By enrolling, you agree that:

* Payments will continue for the full commitment term selected at checkout
* Failure to attend classes does not cancel payment obligations
* Membership pauses, freezes, or transfers are not guaranteed
* Promotional pricing may require fulfillment of the agreed commitment term

Any cancellation requests must comply with the specific membership terms provided during registration.

# 4. Recurring Billing Authorization

By enrolling in any recurring membership or payment plan, you authorize Phoenix Bachata Dance to automatically charge your selected payment method according to the billing schedule agreed upon at checkout.

You are responsible for:

* Maintaining valid payment information
* Updating expired payment methods
* Ensuring sufficient available funds

Failed or declined payments may result in:

* Suspension of access
* Loss of promotional pricing
* Cancellation of memberships or benefits
* Restricted participation in classes or events

# 5. Credits, Transfers & Goodwill Adjustments

Credits, make-up classes, transfers, or exceptions may occasionally be offered solely at the Studio’s discretion.

Such accommodations:

* Are not guaranteed
* Are not equivalent to refunds
* Hold no cash value
* May expire
* May be denied at any time

# 6. Intellectual Property & Exclusive Content Protection

All Studio materials, including but not limited to:

* Videos
* Choreography
* Teaching systems
* Training methods
* Recorded classes
* Exclusive member content
* Online courses
* Exclusive materials
* Music edits
* Branding
* Logos
* Marketing content
* PDFs
* Digital downloads
* Training programs

are the exclusive intellectual property of Phoenix Bachata Dance and are protected under United States copyright and intellectual property laws.

You may NOT:

* Share your account or membership access
* Allow other individuals to access your purchased package
* Share private class links or exclusive group access
* Re-upload Studio videos or recordings
* Record classes without written permission
* Share exclusive content with non-members
* Copy, reproduce, teach, sell, or redistribute Studio materials
* Use Studio content for commercial or competitive purposes

Depending on your purchased package, you may receive access to:

* Exclusive content
* Exclusive videos
* Mini online courses
* Private educational materials
* Member-only resources
* Private groups
* Bonus training materials

Such access is licensed exclusively to the individual purchaser and may NOT be:

* Shared with friends, partners, or family members
* Distributed to other studios or instructors
* Uploaded online
* Screen recorded for redistribution
* Used for unauthorized teaching purposes

Unauthorized sharing, reproduction, redistribution, or misuse of Studio content may result in:

* Immediate termination of access
* Permanent suspension from Phoenix Bachata Dance
* Removal from private groups or online platforms
* Revocation of memberships without refund
* Legal action where applicable

Phoenix Bachata Dance reserves the right to monitor and protect its exclusive educational content and intellectual property to the fullest extent permitted by law.

# 7. Assumption of Risk & Physical Activity Waiver

Dance instruction involves physical activity and inherent risks including, but not limited to:

* Slips
* Falls
* Physical contact
* Muscle strain
* Injury
* Illness
* Accidents

By participating, you acknowledge and agree that:

* You voluntarily assume all risks
* You are physically capable of participating
* You are responsible for consulting a physician if needed
* Participation is entirely at your own risk

You waive and release Phoenix Bachata Dance, its owners, instructors, staff, contractors, affiliates, and venue partners from any liability arising from participation.

# 8. Liability Release

To the fullest extent permitted under Arizona law, Phoenix Bachata Dance shall not be liable for:

* Injuries
* Medical expenses
* Damages
* Loss of income
* Property damage
* Theft
* Lost personal belongings
* Emotional distress
* Indirect or consequential damages

Participants assume full responsibility for their participation and personal property.

# 9. Conduct & Community Policy

Phoenix Bachata Dance is committed to maintaining a respectful, safe, and positive environment for all students and community members.

We reserve the right to deny entry, remove, suspend, or permanently ban any participant for:

* Harassment
* Aggressive behavior
* Inappropriate conduct
* Disruptive behavior
* Unsafe dancing
* Intoxication
* Disrespect toward staff or students
* Violations of Studio policies

No refunds or credits will be issued in such cases.

# 10. Media Release

By attending Studio activities, you grant Phoenix Bachata Dance permission to use photos, videos, and recordings containing your image, likeness, or participation for:

* Marketing
* Social media
* Advertising
* Promotional campaigns
* Educational content

without compensation or approval rights.

To opt out, written notice must be submitted before participation.

# 11. Scheduling, Instructor & Location Changes

Phoenix Bachata Dance reserves the right to modify:

* Instructors
* Schedule
* Curriculum
* Class structure
* Venue/location
* Events
* Programming

at any time without refund obligation.

# 12. Force Majeure

Phoenix Bachata Dance shall not be held responsible for cancellations, interruptions, or inability to provide services due to circumstances beyond reasonable control, including but not limited to:

* Weather
* Natural disasters
* Government actions
* Public health emergencies
* Venue issues
* Power outages
* Internet disruptions
* Acts of God

# 13. Digital Access & Online Platforms

Access to online classes, exclusive content, private groups, mini online courses, or digital platforms may be revoked at any time for violations of these Terms.

Phoenix Bachata Dance does not guarantee uninterrupted digital access and is not responsible for outages or technical failures of third-party platforms.

# 14. Dispute Resolution

Any dispute arising from participation, purchases, memberships, programs, or services shall first be attempted to be resolved informally.

If unresolved, disputes shall be governed under the laws of the State of Arizona and handled exclusively in Maricopa County, Arizona.

To the fullest extent permitted by law, participants agree to waive participation in class-action lawsuits against Phoenix Bachata Dance.

These Terms & Conditions shall be governed and interpreted under the laws of the State of Arizona.

# 16. Entire Agreement

By completing your booking, purchase, registration, or participation, you confirm that:

* You have read and understood these Terms
* You voluntarily agree to all Studio policies
* You accept the No Refund Policy
* You accept the Waiver and Liability Release
* You understand the exclusive content protections
* You agree not to share accounts or proprietary materials
